Terms of Service

1. Acceptance of Terms

By accessing our website or engaging GEM Studio for design and software development services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Project Intake & Payments

Our payment structure is designed to ensure commitment from both parties:

  • Initial Deposit: A non-refundable 50% deposit is required to initiate any web, application, or brand identity project. Work will not commence until this deposit is secured via our billing center.
  • Final Balance: The remaining 50% balance, alongside any applicable domain registration or custom feature fees, must be paid in full prior to the final handover or deployment of the project to a live production environment.

3. Timelines & Revisions

Estimated timelines (e.g., 3-5 working days for informational sites, 2 weeks for custom applications) are provided as targets. Delays in client feedback, asset delivery, or scope expansions may extend these timelines. Standard projects include up to two (2) rounds of major revisions. Additional revisions may incur supplemental billing.

4. Intellectual Property

Upon receipt of final payment, all final digital assets, source code (where applicable), and design files are transferred to the client. GEM Studio retains the right to display the completed work within our portfolio, social media channels, and marketing materials unless a specific Non-Disclosure Agreement (NDA) is executed prior to the project start.

5. Client Portal (GEM STUDIO)

Clients are provided access to the GEM STUDIO Workspace to track milestones and manage invoices. You are responsible for maintaining the confidentiality of your login credentials. We reserve the right to suspend portal access if outstanding invoices remain unpaid for more than 14 days following project completion.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.
